In case the Limited Liability Partnership (LLP) wants to close down its business or where it is not carrying on any business operations for the period of one year or more, it can make an application to the Registrar of Companies for declaring the company as defunct and removing the name of the LLP from its register of LLP’s (clause (b) of sub rule 1 of Rule 37 of LLP Rules 2008).
Process and Checklist:
No business operations for last more year or more.
Closure of existing bank account if any.
Filing of all the pending returns if any.
NIL assets and liabilities, certified by Chartered Accountant.
Preparations of application for closure, affidavits and declarations.
Filing of Form 24 with ROC.
